1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions, together with any written project proposal or service agreement between the parties.
- "Cortexia", "we", "us", "our" means Cortexia, registered and operating from 6 Jalan SS 15/4, Subang Jaya, 47500 Selangor, Malaysia.
- "User", "you", "your" means any person or organisation accessing this website or engaging Cortexia for services.
- "Services" means the computer vision engineering services described on this website, including visual inspection, object detection and tracking, and image classification.
- "Content" means all text, images, data, code, and other materials on this website.
- "Client Data" means image data, datasets, and other materials provided by the client for use in a project engagement.
2. Acceptance of Terms
By accessing this website or engaging Cortexia for services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you should not use this website or proceed with a service engagement.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organisation, you confirm that you are authorised to bind that organisation.
3. Services
Cortexia provides computer vision engineering services to businesses and organisations in Malaysia and internationally. Our services include:
- Visual inspection and quality control system development for manufacturing environments.
- Custom object detection and tracking model development for retail, logistics, and security applications.
- Image classification and tagging system development for asset management and content moderation.
Service scope, deliverables, timelines, and pricing are defined in written proposals or service agreements issued prior to commencement of work. Cortexia reserves the right to decline any engagement at its discretion.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information in all communications and project submissions.
- Use this website and our services only for lawful purposes and in accordance with applicable Malaysian law.
- Not use this website to transmit any harmful, unlawful, or offensive content.
- Not attempt to gain unauthorised access to our systems or interfere with website functionality.
- Ensure that any Client Data you provide is owned by you or that you have the necessary rights and permissions to share it with us for the stated purpose.
5. Intellectual Property
All content on this website — including text, design elements, code, and graphics — is the intellectual property of Cortexia and is protected under applicable Malaysian and international copyright law. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.
In relation to project deliverables, intellectual property rights are addressed in the written service agreement for each engagement. Unless otherwise agreed in writing, trained model weights and associated code developed specifically for a client project are assigned to the client upon full payment of the project fee. Cortexia retains the right to use general methodologies, frameworks, and non-client-specific approaches in future projects.
6. Payment Terms
Pricing for each engagement is set out in a written proposal or service agreement. Unless otherwise agreed:
- Payment terms and milestone schedules are defined in the project service agreement.
- All prices are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise.
- Invoices are payable within 30 days of issuance unless a different term is agreed in writing.
- Work on a project may be paused if invoices are not settled within the agreed payment period.
Refund terms, if any, are set out in the individual service agreement for each engagement.
7. Service Delivery
Cortexia will use reasonable professional efforts to deliver services in accordance with the agreed scope and timeline. Timelines are estimates based on information available at the time of scoping. Material changes to the project scope, delays in receiving Client Data, or changes in the client's technical environment may affect delivery timelines. Any scope changes require written agreement from both parties before implementation.
8. Confidentiality
Client Data and any non-public information shared with Cortexia during an engagement is treated as confidential. Cortexia will not share, disclose, or use such information for purposes other than the delivery of the agreed services, except where required by law. Non-disclosure terms applicable to specific engagements are set out in the relevant service agreement or a separate NDA.
9. Disclaimers
This website and its content are provided on an "as is" basis. While we endeavour to keep information accurate and up to date, Cortexia makes no warranties, express or implied, regarding the completeness, accuracy, or fitness for a particular purpose of any content on this website.
Computer vision models involve statistical methods and operate within the bounds of the training data and conditions specified at project scope. Cortexia does not warrant that any model will achieve a specific accuracy rate in all conditions or over an indefinite period. Published starting prices on this website are indicative and may vary based on actual project scope.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Cortexia shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of this website or our services, including but not limited to loss of revenue, loss of data, or loss of production output.
Our aggregate liability to any client in connection with a specific engagement shall not exceed the total fees paid by that client for the relevant project in the twelve months preceding the claim.
11. Termination
Either party may terminate a service engagement by providing written notice in accordance with the terms of the relevant service agreement. Cortexia reserves the right to suspend or terminate website access if a user is found to be in breach of these Terms and Conditions. Upon termination of an engagement, Cortexia will return or delete Client Data in accordance with the agreed terms.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes may be referred to mediation or the courts of Selangor, Malaysia, as applicable.
13. General Provisions
If any provision of these Terms is found to be unenforceable, that provision shall be severed and the remaining provisions shall remain in full force. Our failure to enforce any right or provision does not constitute a waiver of that right. These Terms constitute the entire agreement between you and Cortexia in relation to use of this website, supplemented by any written service agreements for individual engagements.
14. Changes to These Terms
We may update these Terms and Conditions from time to time. The "Last Updated" date at the top of this page will reflect any changes. Continued use of this website after updates are published constitutes your acceptance of the revised terms.
